Terms of Service

These Terms of Service govern your use of services provided by Eyecay, including web design, web development, web hosting, digital marketing, and related services. By engaging Eyecay's services, you agree to these Terms.
1. Service Agreement
Services are described in a project proposal, statement of work, or hosting agreement issued by Eyecay. The specific deliverables, timeline, and fees for each engagement are detailed in that agreement. These Terms apply in addition to any project-specific agreement.
2. Payment Terms
Web Design and Development Projects
- Projects are invoiced in stages as defined in the project proposal
- A deposit (typically 50% of project value) is required before work commences
- Final payment is due before website launch or final delivery
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 2% per month
Hosting and Recurring Services
- Hosting and maintenance services are billed monthly or annually in advance
- Services not renewed within 14 days of expiry may be suspended
- Data is retained for 30 days after suspension before deletion
3. Intellectual Property
Upon full payment, intellectual property rights in custom design work and code created specifically for your project transfer to you. This excludes third-party libraries, frameworks, and tools used in development. You retain all rights to content, images, and materials you provide to us. Eyecay reserves the right to display completed work in our portfolio unless you request otherwise in writing.
4. Client Responsibilities
You agree to provide accurate and timely information, ensure you have rights to all content provided, maintain confidentiality of credentials, and not use services for unlawful purposes.
5. Revisions and Scope
Project proposals include an agreed number of revision rounds. Additional revisions are billable at our standard hourly rate. Material scope changes require a written change order before work commences.
6. Limitation of Liability
Eyecay's liability is limited to fees paid in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages including lost profits, lost data, or business interruption.
7. Acceptable Use
Hosted services must not be used for illegal activities, spam, malware distribution, or any activity harming our infrastructure. We reserve the right to suspend services immediately for violations without refund.
8. Termination
Either party may terminate with 30 days' written notice. We may terminate immediately for non-payment or acceptable use violations. Upon termination, we will provide reasonable data export within 30 days.
9. Governing Law
These Terms are governed by the laws of the Cayman Islands. Disputes are subject to the exclusive jurisdiction of the courts of the Cayman Islands.
